Invoice and Payment Terms
FLOW Workspace ensures transparency in billing and payment processes. Our invoice terms specify clear deadlines, accepted payment methods, and conditions for late fees to streamline transactions and maintain trust.

Payment Terms:
All memberships, regardless of length, must be paid in full upfront. Payment is due on or before the membership start date to secure access.

Payment Due Date:
Payment is due no later than the membership start date or upon receipt of the invoice if issued after the start date.

Accepted Payment Methods:
We accept cash, bank transfers, QRIS and credit card payments. Payment details are provided on the invoice.

Renewal Payments:
For renewing memberships, payment is due on or before the membership expiration date to ensure uninterrupted access.

Late Payment Policy:
Late payments may result in access restrictions until the outstanding balance is settled. A late fee of 5% may apply if payment is not received within 10 days past the due date.

Refund Policy:
Payments are non-refundable once access to workspace services has begun. Please review the terms and conditions for any exceptions based on unforeseen circumstances.

Invoice Disputes:
Any disputes or questions regarding an invoice must be submitted in writing within 5 days of receipt. FLOW reserves the right to review and respond within 5 business days.

Recurring Payments for Additional Services:
Additional services (e.g., meeting room bookings, event space rentals) are billed separately and are also due upfront. Recurring service agreements will be billed at the beginning of each term.
Credit Note Terms
Our credit note policy provides detailed conditions for issuing credits, ensuring that adjustments are made fairly in case of billing discrepancies or service modifications.

Eligibility for Credit Notes:
Credit notes are issued only in specific cases, such as billing adjustments, service disruptions, or other approved circumstances. Credit notes will not be issued for voluntary membership cancellations.

Application of Credit Notes:
Credit notes may be applied toward future invoices or additional services at FLOW Workspace. They cannot be exchanged for cash.

Credit Expiry:
Credit notes are valid for a period of 3 months from the date of issuance. Unused credits after this period will be forfeited.

Non-Transferable:
Credit notes are non-transferable and can only be applied to the member or company to whom they were originally issued.

Refund Policy:
Credit notes do not qualify for refunds and cannot be redeemed for cash. Credits must be used within the specified validity period.

Credits can be applied toward membership renewals as long as they are within the validity period.

Processing Time:
Credit notes may take up to 5 business days to process once approved.

Dispute Policy:
Any disputes regarding credit notes must be submitted in writing within 5 days of issuance. FLOW Workspace reserves the right to review and respond within 5 business days.
Quote Terms for FLOW Workspace
The quote terms outline the validity, scope, and conditions of pricing estimates provided for FLOW Workspace services, ensuring clarity and alignment with client expectations.

Quote Validity:
All quotes are valid for 14 days from the date of issuance unless otherwise specified. After this period, prices and availability may be subject to change.

Acceptance of Quote:
Acceptance of the quote must be confirmed in writing (via email or signed document). Confirmation implies acceptance of the terms and conditions associated with the quoted services.

Price Adjustments:
Prices in the quote are based on current rates and availability. Any changes in scope or additional requests may result in an updated quote.

Inclusions and Exclusions:
The quote includes only the items and services specifically listed. Any additional services not listed will be subject to additional charges.

Payment Terms:
Payment terms will be provided with the official invoice upon acceptance of the quote. Full payment may be required upfront for certain services.

Cancellation Policy:
Cancellations after acceptance of the quote may incur a cancellation fee. The cancellation fee will be specified in the final terms of the agreement.

Confidentiality:
All quotes are confidential and intended solely for the recipient. Sharing or disclosing any details with third parties is prohibited without prior written consent from FLOW Workspace.

Subject to Availability:
All services and products quoted are subject to availability at the time of booking confirmation. FLOW Workspace reserves the right to adjust the quote if availability changes.

Currency and Taxes:
All prices are quoted in the specified currency and are exclusive of taxes unless otherwise noted. Any applicable taxes will be added at the time of invoicing.

To proceed with the services at the quoted rates, acceptance must be provided before the quote expiration date.

FLOW Contracts and Agreements
FLOW Workspace Membership & Day Pass Agreement

Agreement Overview
This Agreement is between FLOW Workspace, based in Indonesia (hereinafter referred to as “FLOW”), and the undersigned member or day pass user (hereinafter referred to as the “Client”). By signing below, the Client agrees to the terms and conditions outlined herein.

Membership Plans & Day Pass Access
2.1 Membership Plans

Clients on a membership plan gain access to FLOW Workspace facilities and services as described in their specific membership package.

All memberships are paid upfront and are non-refundable once access has commenced.

2.2 Day Passes

Day Pass Clients are entitled to use FLOW facilities for one calendar day only.

Access is limited to the areas and services specified under the Day Pass agreement.

Payment Terms
3.1 Upfront Payment

All plans and day passes must be paid in full prior to access.

Accepted payment methods are cash, bank transfer, and credit card.

3.2 Late Fees

Memberships that have not been renewed by the due date may incur a late fee of 5%.

Cancellations and Refunds

No refunds are available for day passes, even in cases of partial use.

Intellectual Property
5.1 Ownership of Client Work

Any intellectual property created by the Client while using FLOW Workspace remains solely owned by the Client. FLOW claims no rights over the Client’s intellectual property

5.2 Data Privacy and Security

FLOW takes reasonable measures to protect data confidentiality. However, Clients are responsible for securing their data and devices on shared Wi-Fi or other digital infrastructure.
5.3 Use of FLOW's Intellectual Property

Clients shall not use FLOW's trademarks, logos, or branding materials without prior written consent.
6
Wi-Fi Usage
6.1 Provision of Service

FLOW provides Wi-Fi access to Clients for business and personal use. Clients agree to use the Wi-Fi service responsibly and in accordance with all applicable laws and regulations.​

6.2 Restrictions

Clients are prohibited from using the Wi-Fi service for illegal activities, hacking, or unauthorized access to network resources.

High-bandwidth activities, such as Bitcoin mining, are strictly prohibited.

6.3 Network Security

FLOW implements reasonable security measures to protect the network and client data. However, Clients acknowledge that no system is completely secure and assume the risk of any security breaches.
6.4 Fair Usage Policy

FLOW reserves the right to implement a fair usage policy to ensure equitable access to the Wi-Fi service for all Clients. Excessive or abusive usage may result in restrictions or additional charges.

Emergency Procedures
Clients must familiarize themselves with emergency exits and follow all posted evacuation procedures. Fire drills and natural disaster plans are conducted periodically.
8
Insurance
8.1 Client Insurance

Clients are required to have their own insurance coverage to protect against potential liabilities, including personal property, injury, and business losses.​
9
Security
9.1 Access Control

FLOW utilizes key card access, surveillance cameras, and security personnel to ensure the security of the workspace. However, Clients are responsible for safeguarding their belongings.

9.2 Visitor Policy

Clients are required to register all visitors at the reception desk.

Visitors are permitted in designated areas only.
-
Visitors are not permitted in member-only areas without a valid day pass and must adhere to workspace policies.
10
Termination
10.1 Termination for Cause

FLOW reserves the right to terminate this Agreement immediately in cases of contract breach, misconduct, non-payment, or activities that violate workspace policies.​
11
Force Majeur
11.1 Definition
-
Force majeure events include, but are not limited to, natural disasters, government restrictions, acts of God, war, or any other unforeseen events beyond FLOW’s control.​
11.2 Impact on Obligations
-
In the event of a force majeure, both parties’ obligations are suspended for the duration of the event.
-
Neither party shall be liable for delays or failure to perform due to these circumstances.
12
Liability, Personal Property, and Indemnity
12.1 Personal Property
-
Clients are responsible for their personal belongings while using the workspace.
-
FLOW is not liable for any loss, damage, or theft of personal property left unattended or stored on the premises.

12.2 Damage to Property

Clients are responsible for any damage to FLOW's property, facilities, or equipment caused by themselves or their guests.

FLOW reserves the right to charge the Client for the cost of repairs or replacements.

12.3 Indemnity

Clients agree to indemnify and hold harmless FLOW, its affiliates, and employees from all claims, damages, or expenses arising from the use of the workspace.

12.4 Limitation of Liability

FLOW's total liability to the Client for any claim arising out of or relating to this Agreement shall not exceed the total amount of fees paid by the Client to FLOW.

Under no circumstances shall FLOW be liable for any indirect, incidental, consequential, special, or exemplary damages.

12.5 Assumption of Risk

By using the facilities, Clients acknowledge and accept the inherent risks associated with using a shared workspace, including but not limited to the risk of illness, data breaches, or exposure to contagious diseases.

Clients agree to take reasonable precautions.
13
​Noise and Disturbance
Clients agree to respect other members by keeping noise levels to a minimum.
Avoid disruptive behavior that may interfere with the workspace environment.
FLOW reserves the right to address disturbances as necessary.
14
Subletting and Assignment
14.1 Subletting

Subletting any workspace area, whether under a membership or day pass, is prohibited without express written permission from FLOW Workspace management.

14.2 Assignment

Clients shall not assign, transfer, or sublicense any of their rights or obligations under this Agreement without the prior written consent of FLOW.
15
Health and Safety
15.1 Compliance with Health Regulations

Clients agree to comply with all health and safety guidelines issued by FLOW or governmental authorities, including but not limited to wearing masks, social distancing, and health screenings.
15.2 Use of Shared Facilities
-
Use shared facilities and equipment responsibly.
-
Follow all posted guidelines to ensure safety for all members.
16
Compliance with Laws
Clients agree to comply with all applicable local, national, and international laws and regulations while using FLOW's services and facilities.
17
Governing Law and Dispute Resolution
17.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of laws principles.
-
Jurisdiction is in the district of Denpasar, Bali Province.
17.2 Dispute Resolutions
-
In the event of any dispute arising from this Agreement, both parties agree to seek mediation as a first step.
-
If mediation fails, the dispute shall be resolved through arbitration in Denpasar, Bali, according to the rules set forth by the Indonesian National Arbitration Board.
-
Arbitration will be conducted in Bahasa Indonesia or English, as agreed upon by both parties.
-
The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties.
-
Costs of arbitration shall be split equally unless decided otherwise by the arbitrator.
-
The arbitration award shall be final and binding on both parties.

Disclaimer of Warranties
FLOW provides services "as is" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Partnership or Agency
Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship between FLOW and the Client.
20
Third-Party Rights
This Agreement is intended solely for the benefit of the parties hereto and does not confer any rights upon any third parties.
21
Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Modification of Terms

FLOW reserves the right to modify the terms of this Agreement at any time.

Clients will be notified of any changes.
-
Continued use of the workspace constitutes acceptance of the new terms.

Language and Prevailing Version

This Agreement is made and executed in Indonesia and the English language.
-
In the event of any inconsistency between this English version and Indonesian version, the English version shall prevail.

Electronic Signatures and Counterparts

This Agreement may be executed electronically and in counterparts.
-
Each counterpart shall be deemed an original.
-
All counterparts together shall constitute one instrument.

Rights to Relocate or Modify Workspace

FLOW reserves the right to relocate the Client within the workspace or make modifications to the facilities at its sole discretion.
-
Such changes will not materially diminish the services provided.

Acknowledgment of Risks

The Client acknowledges and accepts the inherent risks associated with using a shared workspace.
-
Risks include illness, data breaches, or exposure to contagious diseases.
27
Entire Agreement

This Agreement constitutes the entire understanding between FLOW and the Client.
-
It supersedes all previous agreements, representations, or understandings, whether written or oral.
